Terms of service

The agreement between AhoyDesk and the agencies that use it — plans, prepaid USDT billing, refunds, minutes, liability and how either side can stop.

Updated October 3, 2026

These terms are the agreement between AhoyDesk (“we”, “us”) and the agency that creates an AhoyDesk account (“you”). By creating an account or paying an invoice you accept them. Questions go to hello@ahoydesk.com.

What AhoyDesk is

AhoyDesk is a receptionist that agencies resell, under their own brand, to local service businesses (your “clients”). For each client it answers phone calls and website chat, using what it learned from the client’s public website and the details you add. It writes down each conversation, flags emergencies to the people you choose, and builds demos you can send to prospects.

You sell to your clients. Your agreement with them is between you and them: we are not a party to it, and your clients do not become our customers.

Your account

  • You must be at least 18 and act for a business.
  • Keep your password private. You are responsible for what happens under your account, including what your team members do. Owners can invite members and remove them at any time.
  • Give us a real email address. We use it for sign-in, billing notices and service messages.

Trial

A new account gets a 14-day free trial: one live receptionist and 30 call minutes. No payment is needed to start. When the trial ends without a paid plan, live receptionists pause; your demos and settings stay.

Plans and payment

  • Plans are priced per month for a number of live receptionists. The current prices are on our pricing page.
  • You pay in advance, in USDT, through our payment processor OxaPay, for 1, 3 or 12 months. A year is billed as ten months.
  • Nothing renews automatically. When your paid term ends we email you, and a 7-day grace period starts in which live receptionists keep answering. After that they pause until you pay. Calls already in progress are not cut off.
  • Prices for a term you have already paid don’t change. We give at least 30 days’ notice before a price change applies to your next payment. Founding agencies keep their price as long as their plan stays paid.

Call minutes and credit

  • Each plan includes call minutes for all your clients together. Your dashboard shows what you’ve used.
  • Minutes past the included amount are charged per second, at the overage rate shown on the pricing page, from prepaid call credit. If your credit runs out, we allow a $10 overdraft. After that, calls ring each client’s fallback number instead of the receptionist until you add credit or the month resets.
  • You can buy call credit from $20 to $1,000 at a time. Credit doesn’t expire while your account is open.
  • If you choose to run on your own OpenAI, Vapi and Twilio accounts instead, you pay those companies directly, at their prices, and no minutes are counted against your plan.

Refunds

  • First payment: if you ask within 7 days of your first paid invoice, we refund it in full.
  • After that, a paid term is not refunded part-way. Your plan simply runs to the end of the term you paid for.
  • Unused call credit is refunded when you close your account.
  • If the service fails because of us and we can’t fix it, we refund the affected part of your term.
  • Refunds are paid in USDT to an address you give us, less the network fee. Payments can’t be reversed on the blockchain, so we can’t send a refund to a card or bank account.

Your clients and their callers

You are responsible for:

  • having the right to use each client’s website, name and details to build its receptionist;
  • telling your clients what the receptionist does and doesn’t do, and checking its answers before it goes live. Every receptionist must pass our accuracy test first, but no test catches everything;
  • choosing who receives emergency alerts, and keeping those contacts current;
  • following the laws that apply to your clients’ calls. That includes telling callers about recording where consent is required. The receptionist says at the start of each call that the call may be recorded.

You must follow our acceptable use policy. Our data processing agreement covers the personal data of your clients’ callers, and our privacy policy covers how we handle yours.

Not an emergency service

The receptionist is not an emergency service and must not be offered or used as one. It tells callers to dial 911 (or the local emergency number) for a gas smell, fire, or anyone hurt. It can be wrong, slow, or unavailable.

What we promise, and what we don’t

We run AhoyDesk with care, test it continuously, and fix problems quickly. But it relies on other companies (voice, phone and AI providers, hosting) and on AI that can misunderstand people. We provide it “as is”, without promises that it will never fail, never make a mistake, or suit every purpose.

Liability

  • Neither side is liable to the other for indirect losses: lost profits, lost business, lost data, or harm to reputation.
  • Our total liability for everything related to these terms is limited to what you paid us in the 12 months before the claim.
  • These limits don’t apply where the law doesn’t allow them, or to fraud or deliberate wrongdoing.

Suspension and ending the agreement

  • You can stop at any time: stop paying, or ask us to close your account. Closing it ends your receptionists. We delete your data within 30 days, except the billing records we must keep.
  • We may pause a receptionist or your account to protect callers or the service: for non-payment, for breaking the acceptable use policy, or when the law requires it. We tell you why unless the law forbids it.
  • We may end the agreement with 30 days’ notice. If we do that without cause, we refund the unused part of your term.

Changes

We may update these terms. For changes that matter, we email you at least 14 days before they apply. If you don’t agree, you can stop before they apply and get the unused part of your term back.
